Terms of Service

1. Agreement

By creating an account or using ClauseCheck ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms are governed by the laws of England and Wales.

2. Description of service

ClauseCheck is an AI-assisted tool that analyses contract text and highlights potential risk clauses. The Service is provided for informational purposes only and does not constitute legal advice.

3. Not legal advice

ClauseCheck is not a law firm and is not a substitute for a qualified solicitor. The analysis generated by the Service is produced by an AI model and may be incomplete, inaccurate, or inapplicable to your specific circumstances. You should always seek independent legal advice before signing any contract, particularly for high-value or high-risk agreements.

We accept no liability for any loss or damage arising from reliance on the Service's output.

4. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use the Service.

5. Plans and payment

• Free plan: 3 contract scans per calendar month at no charge.
• Pro plan: Unlimited scans at the published monthly subscription price. Billing is handled by Stripe and recurs monthly until cancelled.
• Prices are shown inclusive of VAT where applicable.
• You may cancel your Pro subscription at any time. Access continues until the end of the paid billing period. No refunds are issued for partial months except where required by UK consumer law.

6. Consumer cancellation rights

Under the Consumer Contracts Regulations 2013, you have the right to cancel a subscription within 14 days of purchase without giving a reason (the "cooling-off period"), provided you have not used the Service during that period. To cancel within this period, email us at akandebolu97@gmail.com.

7. Acceptable use

You must not use the Service to:

• Upload content you do not have the right to process.
• Attempt to reverse-engineer or scrape the Service.
• Circumvent usage limits or access controls.
• Resell or redistribute the Service's output commercially without our written consent.
• Violate any applicable law.

8. Intellectual property

You retain all rights to the contract text you submit. You grant us a limited, temporary licence to process it solely to provide the Service. The ClauseCheck software, brand, and analysis methodology are our intellectual property.

9. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising from use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for any indirect, consequential, or economic loss.

Nothing in these terms excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under English law.

10. Termination

We may suspend or terminate your account if you breach these terms or abuse the Service. You may delete your account at any time by contacting us.

11. Changes to terms

We may update these terms from time to time. We will give you at least 30 days' notice of material changes by email. Continued use after the effective date constitutes acceptance.

12. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
